By accessing or using the website of UnityWave Technologies ("UnityWave", "we", "us"), or by engaging our software engineering and design services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not access our website or engage our services.
2. Services Provided
UnityWave provides custom software development, mobile application development, website creation, CRM/ERP integration, association management systems, and technical consulting services. Specific deliverables, scope of work, timelines, and commercial terms for client projects are defined in individual Master Service Agreements (MSAs), Statements of Work (SOWs), or formal written proposals.
3. Intellectual Property Rights
Unless otherwise explicitly agreed in writing within a project SOW, upon full and final payment of all agreed fees, the custom code, designs, and deliverables produced specifically for a client belong to the client. UnityWave retains ownership of pre-existing frameworks, reusable open-source components, proprietary developer toolkits, and general engineering methodology used during project execution.
4. Client Responsibilities
To ensure timely project execution, clients agree to:
- Provide accurate project requirements, feedback, and approvals in a timely manner.
- Supply necessary media, copy, branding guidelines, and third-party API credentials required for development.
- Ensure all materials provided to UnityWave do not infringe upon any third-party copyrights or intellectual property.
5. Payment Terms & Milestones
Payment schedules, deposit requirements, and milestone payments are specified in each project contract. Invoices are due upon receipt or within the credit terms agreed upon in writing. Late payments may result in the temporary suspension of development or deployment until outstanding accounts are settled.
6. Limitation of Liability
To the maximum extent permitted by applicable law, UnityWave shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, or business opportunity—arising out of or related to the use of our services or website.
